Terms of Service

1.1 Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and dotgear, inc ("InfrPool," "Platform," "we," "us," or "our"), governing your access to and use of the InfrPool platform, including its website at infrpool.com, APIs, dashboard, and worker software (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

You represent that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into this agreement.

1.2 Service Definition

Nature of the Platform

InfrPool is a computing resource matchmaking platform that connects consumers seeking AI inference services with suppliers who provide computing resources. InfrPool acts solely as an intermediary that facilitates transactions between consumers and suppliers.

InfrPool is not a content creation platform, an AI model provider, or a content moderation service. The Platform does not develop, own, operate, or control the AI models available through the Service.

Platform Roles

  • Consumer: A User who purchases and uses AI inference services through the Platform's API.
  • Supplier: A User who provides computing resources (self-hosted models or CLI Proxy capacity) to fulfill inference requests routed through the Platform. Suppliers are subject to the separate Provider Terms.
  • Both: A User who acts as both a Consumer and a Supplier.

Content Neutrality

InfrPool does not monitor, inspect, censor, filter, moderate, or store the content of prompts submitted by Consumers or responses generated by Suppliers' models. Prompts and responses are routed through the Platform's servers in memory only and are not persisted to any permanent storage.

The Platform records only operational metadata (timestamps, token counts, model identifiers, latency metrics, and task identifiers) for billing and quality-of-service purposes. No prompt or response content is included in these metadata records.

Because the Platform does not inspect content, InfrPool makes no representations or warranties regarding the legality, accuracy, appropriateness, or safety of any content generated through the Service.

1.3 Accounts and Authentication

Account Creation

To use the Service, you must create an account by authenticating through a supported identity provider (Google OAuth or GitHub OAuth) via Firebase Authentication. You agree to provide accurate information and to keep your account credentials secure.

Account Security

You are solely responsible for all activity that occurs under your account, including any use of API keys issued to your account. You must notify us immediately at support.infrpool@dotgear.jp if you become aware of any unauthorized use of your account or API keys.

One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent platform rules, manipulate rank systems, abuse promotional credits, or evade suspensions is strictly prohibited and constitutes grounds for immediate termination of all associated accounts.

API Keys

API keys are issued to authenticated Users for programmatic access to inference endpoints. API keys are generated using cryptographically secure random values and are displayed only once at the time of creation. You are responsible for storing and securing your API keys. InfrPool stores only the cryptographic hash of each key.

1.4 Consumer Rights and Obligations

Consumer Rights

As a Consumer, you have the right to:

  • Access AI inference services through the Platform's OpenAI-compatible API.
  • Set maximum price limits per model and per request to control costs.
  • Set daily and monthly budget limits.
  • View transparent cost breakdowns with every API response.
  • Export your personal data in a machine-readable format (JSON).
  • Request account deletion subject to the data retention policies described in our Privacy Policy.

Consumer Obligations

As a Consumer, you agree to:

  • Use the Service only for lawful purposes and in compliance with all applicable laws.
  • Maintain sufficient wallet balance or a valid auto-charge configuration to cover usage costs.
  • Not attempt to reverse-engineer, decompile, or extract the models or infrastructure of any Supplier.
  • Not engage in any activity designed to disrupt, overload, or degrade the Platform or any Supplier's infrastructure.
  • Accept that the Platform does not guarantee the quality, accuracy, safety, or fitness for any particular purpose of model outputs.

1.5 Supplier Rights and Obligations

Suppliers who provide computing resources through the Platform are subject to the separate InfrPool Provider Terms, which govern supplier-specific terms including model quality requirements, payout terms, fraud policies, and the CLI Proxy self-responsibility clause.

All Suppliers must:

  • Provide computing resources that meet the Platform's minimum quality benchmarks.
  • Set fair and transparent pricing for their models.
  • Not log, store, or transmit Consumer prompt or response data beyond what is strictly necessary for inference processing.
  • Comply with the Provider Terms in its entirety.

1.6 Prohibited Activities

Platform Integrity

  • DDoS or overload attacks: Intentionally sending excessive requests to disrupt the Platform or any Supplier's infrastructure.
  • Multi-account abuse: Creating or operating multiple accounts to circumvent platform rules, manipulate rankings, or abuse promotional credits.
  • Token manipulation: Attempting to inflate or deflate token counts to gain an unfair financial advantage.
  • Fake models: Registering a model that misrepresents its identity, capabilities, or performance characteristics.
  • Prompt theft: Intercepting, logging, or redistributing Consumer prompts or model responses for any purpose other than fulfilling the immediate inference request.

Financial Fraud

  • Initiating fraudulent chargebacks or payment disputes.
  • Using stolen payment credentials to charge the wallet.
  • Attempting to exploit the billing system, including manipulating mid-stream disconnections to avoid legitimate charges.
  • Self-consumption abuse (artificially inflating transaction volume between one's own Consumer and Supplier accounts).

System Exploitation

  • Reverse-engineering, scraping, or crawling the Platform beyond its intended API usage.
  • Circumventing rate limits, authentication controls, or security mechanisms.
  • Attempting to access other Users' data, wallets, or accounts.
  • Exploiting software vulnerabilities rather than reporting them responsibly.

Violation of any prohibited activity may result in immediate account suspension, forfeiture of wallet balance, and permanent ban from the Platform at our sole discretion.

Reference Image Misuse

The following uses of the reference image upload feature are strictly prohibited:

  • Non-consensual intimate imagery: Creating intimate, sexual, or nude imagery of real persons without their explicit, documented consent.
  • Identity deception: Creating content intended to deceive others about the identity of persons depicted (deepfakes for fraud, impersonation, or misinformation).
  • Privacy violations: Creating content that violates the personality rights, likeness rights, or privacy of any individual.
  • Minor exploitation: Using images of minors (persons under 18) as reference images for any purpose whatsoever.
  • Harassment: Creating content intended to harass, defame, intimidate, or harm any individual.

Users uploading reference images represent and warrant that:

  • They own or have obtained all necessary rights, licenses, and permissions for the uploaded images.
  • They have obtained explicit consent from any identifiable persons depicted in the uploaded images.
  • Their use of reference images complies with all applicable laws, including privacy laws, personality rights, and intellectual property laws.

Reference images are automatically deleted 24 hours after upload and are not permanently stored by the Platform. The Platform does not verify the ownership or authorization status of uploaded images.

Violation of this section will result in immediate and permanent account termination and may be reported to relevant law enforcement authorities.

1.7 Wallet, Billing, and Credits

Prepaid Credit System

InfrPool operates on a prepaid credit system. All monetary values within the Platform are denominated in micro-USD (1 USD = 1,000,000 micro-USD). To use inference services as a Consumer, you must maintain a positive wallet balance.

Charging Your Wallet

Wallet charges are processed through Stripe. The minimum charge amount is $5.00 USD. Stripe's transaction fees (currently 2.9% + $0.30 per transaction) are borne by the Consumer. Credits are added to your wallet upon successful completion of the Stripe Checkout session.

Auto-Charge

Consumers may enable automatic wallet top-up. When enabled, the Platform will automatically initiate a Stripe charge when the wallet balance falls below a configured threshold. Available auto-charge preset amounts are $10, $20, $50, and $100 USD. Auto-charge can be toggled on or off at any time through the dashboard.

Pricing and Fees

  • Consumer fee: A 10% surcharge is applied to the Supplier's base price on each inference request.
  • Supplier fee: A percentage fee is deducted from the Supplier's base price, determined by the Supplier's rank (Bronze: 5%, Silver: 4%, Gold: 3%).
  • Payout processing fee: $0.50 per payout transaction.
  • Inactivity fee: $1.00 per month for accounts inactive for 6 or more consecutive months with a positive balance.

All fee calculations are performed in micro-USD using integer arithmetic. Consumer charges are rounded up (ceiling), and Supplier earnings are rounded down (floor), with the Platform retaining the difference.

De Minimis Threshold (100 Tokens)

If a request is terminated mid-stream and fewer than 100 output tokens have been generated, the request is considered to have produced no billable value. In such cases, neither the Consumer is charged nor the Supplier is credited.

Price Lock

The Supplier's price at the time of request-to-supplier matching is locked for the duration of that request. Price changes made by the Supplier during an in-flight request do not affect the billing for that request.

Credit Expiry

Credits in your wallet expire one (1) year after the date of last activity on your account. "Activity" is defined as any of the following: wallet charge (top-up), inference usage (API call), or payout (withdrawal).

  • The Platform will send an email notification 30 days before your credits are scheduled to expire.
  • Upon expiry, the wallet balance is reset to zero and a wallet event of type "expired" is recorded.
  • Expired credits are non-refundable and cannot be reinstated. It is your responsibility to maintain account activity or withdraw your balance before expiry.
  • The expiry check runs as a daily batch process.

Signup Bonus

New accounts receive a one-time signup bonus of $1.50 USD credited to the wallet upon account activation. This bonus is subject to the same credit expiry rules as regular credits.

1.8 Supplier Payouts

Supplier payouts are processed exclusively through the Tremendous API. Stripe Connect is not used for supplier payouts. Available payout methods include Visa prepaid cards, PayPal, Amazon gift cards, bank transfers, and other options supported by Tremendous (1,000+ brands).

  • Minimum payout: $1.00 USD.
  • Payout modes: Manual (user-initiated) or monthly automatic (triggered on the 1st of each month if the balance meets the configured threshold).
  • Payout processing fee: $0.50 per payout.
  • Account age requirement: Accounts must be at least 7 days old to request a payout.
  • Identity verification: InfrPool does not perform direct KYC verification on Users. Identity verification for payout recipients is handled by Tremendous as part of its reward delivery and compliance process.

1.9 Account Suspension and Termination

Suspension by the Platform

InfrPool may suspend or restrict your account at any time if:

  • You violate these Terms or any other Platform agreement (including the Provider Terms).
  • Fraudulent activity is detected on your account.
  • Your Supplier model consistently fails quality benchmarks or SLA requirements.
  • Required by law or in response to a valid legal request.
  • An unresolved payment dispute exists on your account.

Upon suspension, all Supplier models are taken offline, pending earnings are frozen, and API access is revoked. You will be notified by email of the suspension and the reason.

Termination by the User

You may terminate your account at any time by initiating an account deletion request through the dashboard. Upon requesting deletion:

  • A 72-hour grace period begins, during which you may cancel the deletion.
  • You are encouraged to withdraw any remaining Supplier earnings before deletion.
  • After 72 hours, your account is anonymized in accordance with our Privacy Policy.

Effect of Termination

Upon termination of your account (whether by you or by us):

  • All remaining wallet credits expire and are forfeited. No refunds are issued for remaining credits upon termination, except as required by applicable law.
  • For supplier accounts with pending earnings exceeding $1.00, a final payout will be attempted before anonymization.
  • For consumer accounts with a balance exceeding $1.00, a refund via Stripe will be attempted.
  • Balances below $1.00 are forfeited.
  • All API keys are permanently revoked.
  • All Supplier models are permanently removed from the marketplace.

1.10 Disclaimers

No Guarantee of Model Quality or Output

InfrPool is a matchmaking platform. We do not guarantee the quality, accuracy, completeness, reliability, safety, or fitness for any particular purpose of any AI model output delivered through the Service. Model outputs are generated by third-party Supplier-operated models, and InfrPool has no control over the content of those outputs.

No Content Responsibility

Because the Platform does not inspect, monitor, or store prompt or response content, InfrPool assumes no responsibility for:

  • The legality of content generated through the Service.
  • Any harm arising from reliance on model outputs.
  • Any violation of third-party intellectual property rights in model outputs.
  • The suitability of model outputs for any specific application, including safety-critical applications.

Service Availability

The Service is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted or error-free operation. Supplier availability depends on individual Suppliers' computing resources and uptime, which InfrPool does not control.

Supplier Infrastructure

InfrPool does not own, operate, or control the computing infrastructure used by Suppliers. Prompts are processed on Supplier-operated hardware. While the Platform requires Suppliers to agree not to log or share prompt data, InfrPool cannot independently verify compliance with this obligation at all times.

1.11 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INFRPOOL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR USE OF OR INABILITY TO USE THE SERVICE;
  • ANY CONTENT GENERATED BY AI MODELS ACCESSED THROUGH THE SERVICE;
  • ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
  • ANY ACTIONS TAKEN BY SUPPLIERS IN CONNECTION WITH THEIR COMPUTING RESOURCES.

IN NO EVENT SHALL INFRPOOL'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO INFRPOOL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100.00), WHICHEVER IS GREATER.

1.12 Indemnification

You agree to indemnify, defend, and hold harmless InfrPool, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or regulation.
  • Any content generated through your use of the Service.
  • Any dispute between you and a Supplier or Consumer.

1.13 Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of laws principles.

Arbitration

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration administered by the Japan Commercial Arbitration Association (JCAA) in accordance with its rules. The seat of arbitration shall be Tokyo, Japan. The language of arbitration shall be English or Japanese, as agreed by the parties.

Exceptions

Notwithstanding the arbitration clause above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

Billing Disputes

For billing disputes related to specific inference transactions, Suppliers may contact support.infrpool@dotgear.jp. The Platform maintains server-side token count records and Supplier-reported token count records that can be reviewed by administrators to resolve discrepancies.

1.14 Changes to These Terms

Notification

We may modify these Terms at any time. When we make material changes, we will:

  • Post the updated Terms on the Platform with a revised "Last Updated" date.
  • Send an email notification to the address associated with your account at least 30 days before the changes take effect.
  • Display a prominent notice on the dashboard.

Acceptance of Changes

Your continued use of the Service after the effective date of any changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and may request account deletion.

1.15 Intellectual Property

Platform IP

The InfrPool platform, including its software, APIs, documentation, branding, and design, is the intellectual property of dotgear, inc Nothing in these Terms grants you any right to use InfrPool's trademarks, logos, or other brand features without prior written consent.

User Content

You retain ownership of any content you submit to the Service (including prompts). InfrPool claims no ownership over Consumer prompts or model-generated responses. The Platform processes this content solely for the purpose of routing inference requests and does not retain it.

1.16 Miscellaneous

Entire Agreement

These Terms, together with the Privacy Policy, Provider Terms (if applicable), and any other policies referenced herein, constitute the entire agreement between you and InfrPool regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

The failure of InfrPool to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without InfrPool's prior written consent. InfrPool may assign its rights and obligations without your consent.

Force Majeure

InfrPool shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power failures, internet disruptions, or third-party service outages.
